   YOU and RENESAS, both parties will endeavor to settle such dispute, controversy or difference

   amicably. In the event that both parties fail to agree, any such dispute, controversy and

   difference shall be finally settled by arbitration in Tokyo, Japan under and in accordance

   with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association.
